These Terms govern your access to and use of the Referally platform (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and any organization you represent.
1. Accounts
You are responsible for the activity under your account and for keeping your credentials secure. You must provide accurate information and be authorized to bind any organization you register. Merchant and partner accounts are distinct; each is subject to these Terms.
2. The Service
Referally provides affiliate and partnership management: attribution tracking, commission calculation, payouts, fraud controls, and a partner marketplace. Availability targets and support commitments, if any, are described in your order or plan.
3. Fees and payment
Paid plans are billed in advance on a recurring basis and are non-refundable except where required by law. You authorize us to charge your payment method for all fees. We may change pricing on renewal with prior notice.
4. Commissions and payouts
Referally computes commissions from the events you and your integrations report, and moves funds through third-party payout providers. You are responsible for the accuracy of underlying data, for the lawfulness of your program terms, and for any tax obligations, including collecting valid tax forms from partners where required. Referally is not a bank, money transmitter, or tax advisor.
5. Acceptable use
You may not use the Service to commit fraud, launder money, infringe rights, send unlawful communications, or circumvent attribution or fraud controls. We may suspend accounts that threaten the integrity of the platform or other users.
6. Intellectual property
We retain all rights in the Service. You retain rights in your data; you grant us a limited license to process it to provide the Service.
7. Disclaimers and liability
The Service is provided “as is.” To the maximum extent permitted by law, we disclaim implied warranties and our aggregate liability is limited to the fees you paid in the twelve months before the claim. We are not liable for indirect or consequential damages.
8. Termination
Either party may terminate as described in your plan. On termination you may export your data for a limited period, after which we may delete it, subject to legal retention requirements and our Privacy Policy.
9. Changes and contact
We may update these Terms; material changes will be notified. Questions: legal@referally.example.
